As you know the nokia 8265 Phone has been dis-continued. Do you think Cingular would let me upgrade cuz of that?

You can upgrade if you are not under contract, if you have completed 21 months of a 24 month contract, or 11 months of a 12 month contract. You can also just purchase a phone at any time for the no commitment price, or get one from ebay, or where ever. Any way you do it you'll pay an upgrade fee.

But how is that my fault if they dis-continued the phone?
I should just be able to upgrade for free

Anytime you get your phone disconnected because it is out of date or the network changes they offer you a deal to upgrade. Just go into a Corporate Store, aka one that says Cingular and not something like Cell Warehouse. They'll get you fixed up without out much trouble at all, normally only takes 10 minutes.
