2. What are good alternatives to service provider/phone? My average usage is 300 minutes busenes time, 400 minutes nights/weekends, occasional emailing and it would be good to be able to send instant messages (MSN or AOL). I live mostly in Nashville, TN. Also, I'd prefer unlocked phone.

I went to Cingular and got GSM Nationwide service,and have never regreted it.I know of people who don't like Cingular,but see more complaints against T-Mobile and the others.I get good service and help with any problem that can come up from time to time from Cingular.But I would make sure that I would buy from a Cingular retail outlet store,not a dealer who sells Cingular along with other cellular companies and won't back up what he sells.With Cingular acquiring AT&T,My coverage has really increased.

Why do they want to put me a contract with a termination fee just to change my plan. They are not giving me new phone?

That is what you agreed to when you activated your services and agreed to your original contract. Look at your agreement, it does states that if you use certain promotional plans or offers, you will be required to change your contract.
