Thank you again for your help and I had seen another post similar to this problem suggesting it might be the magnet or sensor so I opened both phones and the one with the problem had the magnet glued in.
The glued in magnet still has polarity but I am not sure if the thick glue layer is raising the magnet too high from the sensor when the lid is closed.
As I could not do a swap to see if that was the problem so I did the following quick tests
1) I poped the magnet out of the correctly working Cingular phone and placed it on top of the other magnet in the unlocked phone case doubling its strenth and closed the lid and nothing happened ,
2) Also I tried the following on the unlocked phone . with the phone on and lid open I positioned the good magnet over the area where I believe the sensor was to see if anything would happen and nothing did.

It could be a sensor problem then - you could try swapping the keypad membrane and see if that is the cause

I tried all the USB ports and they all recognized the device but failed flashing again

I just checked the boot loader version on my V3 razr and I found "Boot Loader 08.29 SW_Version:R374_G_0E.42.15R"
Is there any way I can unlock this myself?
I also have another V3 razr that is on the correct provider but I dropped that in water and it doesn't work properly anymore, is there anyway i can switch something between the two to make a working phone that is on the right provider?

Boot loader 08.29 can only currently be downgraded with testpoint
I doubt it but you could swap the "brains" - the part at the bottom where the antenna and mic are and see if it works

Either follow the info in the first post or use p2k Easy Tools if you can find it.
Make sure it really is a V3 and not a V3r (s/w version should start R374)

Sounds like a driver problem. Try running the driver install program on clean and reinstall
